01. Public Offer Agreement

Accessing Teachwell.io constitutes a binding legal agreement. This document serves as a **Public Offer (Public Agreement)** under Articles 633 and 641 of the Civil Code of Ukraine. By utilising our platforms, you accept the terms provided by **Jones Group LLC** without reservation.

02. Intellectual Property

All software architecture, visual assets, proprietary logic, and bespoke elements are the sole property of **Jones Group LLC**. Any attempt to reverse-engineer, scrape, or redistribute our code is a criminal violation of the Law of Ukraine "On Copyright and Related Rights."

03. Force Majeure & Continuity

Jones Group LLC operates in a region currently subject to martial law. While we maintain high uptime targets, we are not liable for service interruptions caused by catastrophic infrastructure failure, kinetic military action, or state-level cyber-interruption.

04. Commercial Conduct

Users must use Teachwell.io for lawful educational purposes. We reserve the right to terminate access immediately, without refund, if the platform is used to host illegal content or facilitate fraud. Payments processed by Jones Group LLC are final and subject to Ukrainian commercial law.

05. Jurisdiction & Disputes

These terms are governed by the laws of Ukraine. In the event of a dispute that cannot be resolved via mutual negotiation, the matter shall be settled exclusively within the Commercial Courts of Ukraine.

06. Revisions

Jones Group LLC reserves the right to modify these terms at any time. Continued use of the platform following such changes constitutes acceptance of the revised legal framework.
